These Terms of Service (these "Terms") govern your access to and use of the miaddy mobile application (the "App"), operated by Mechelle Wu ("miaddy," "we," "us," or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms.

1. Eligibility

You must be at least thirteen (13) years of age to use the App. By using the App, you represent and warrant that you satisfy this requirement.

2. Your Account

You are responsible for maintaining the confidentiality of your account (your "Account") credentials and for all activity occurring under your Account. You agree to: (a) provide accurate information; (b) maintain the security of your password; and (c) notify us immediately of any unauthorized use of your Account. We reserve the right to suspend or terminate your Account at any time, for any reason, without notice and without liability to you, including for violation of these Terms.

3. Acceptable Use

You agree not to, without limitation: (a) harass, threaten, or harm other users; (b) transmit unsolicited messages or spam; (c) impersonate any person or entity; (d) upload unlawful, infringing, or fraudulent content; (e) attempt to gain unauthorized access to the App or its underlying systems; (f) reverse engineer, decompile, or disassemble the App; (g) use the App to plan or facilitate unlawful activity; or (h) use the App for any commercial purpose without our prior written consent. We may investigate any suspected violation of this Section and take any action we deem appropriate, including suspending or terminating access to the App.

4. Inviting and Adding Others

The App permits you to add individuals to your circle and to invite individuals who are not yet miaddy users by submitting their name and/or email address. By doing so, you represent and warrant that you have the right to share such information with us and that doing so does not violate any law or the rights of that individual. You agree to indemnify and hold harmless miaddy and its operator from any claim, loss, or dispute arising from information you submit regarding another individual.

5. User Content

You retain ownership of any content you submit to the App ("Content"). By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display that Content solely for the purpose of operating and improving the App. We reserve the right, but not the obligation, to review, remove, or refuse any Content that violates these Terms.

6. Subscriptions and Payments

The App offers a free tier with limited features and a paid subscription, miaddy+, billed on a monthly or annual basis. New Accounts receive full access to miaddy+ features for the first seven (7) days following onboarding, regardless of whether you subscribe; upon expiration of this period, continued access to miaddy+ features requires an active subscription. You may cancel your subscription at any time through your Apple App Store account settings; cancellation takes effect at the end of the then-current billing period. We do not provide refunds for partial billing periods. All billing is governed by Apple's App Store terms and conditions.

7. Intellectual Property

The App and all content contained therein, including its design, text, graphics, logos, and software, are owned by us and protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any portion of the App without our prior written consent.

8. Assumption of Risk

The App is a tool intended to assist you in organizing plans and maintaining relationships. It does not verify the identity of any user, conduct background checks, or guarantee the accuracy of any suggestion, reminder, or notification it generates. You are solely responsible for your decisions and conduct, including whether, when, and how to meet another user in person. We recommend exercising the same judgment and caution you would exercise with respect to any in-person meeting, including meeting in a public location and informing a third party of your plans. miaddy is not responsible for the conduct of any user, whether on or off the App, or for any outcome of any plan, meeting, or relationship coordinated through the App.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We do not warrant that the App will be uninterrupted, error-free, or secure, and we are not responsible for the availability or performance of any third-party service on which the App relies, including our hosting, authentication, payment, notification, and monitoring providers. We are not responsible for any loss or damage arising from your use of the App.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00) CAD.

11. Indemnification

You agree to indemnify, defend, and hold harmless miaddy and its operator from and against any claim, loss, liability, or expense, including reasonable legal fees, arising from: (a) your use of the App; (b) your Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party, including in connection with any interaction, meeting, or relationship coordinated through the App.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Prior to initiating any claim, you agree to first contact us at [email protected] to permit us to attempt to resolve the matter informally. Any dispute not resolved informally shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.

13. General Provisions

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision shall not constitute a waiver of our right to do so thereafter. You may not assign your rights or obligations under these Terms; we may assign ours in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and miaddy; in the event of any conflict between the two, these Terms shall govern. We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms within the App or by email. Your continued use of the App following the posting of any changes constitutes your acceptance of the revised Terms.
